Devy Enterprise Referral Program - Terms

1. Description of Program

The Devy Enterprise Referral Program allows individuals and businesses to earn referral fees by introducing qualified leads to Devy. Participation in the Program is subject to these terms as well as written confirmation of enrollment provided by Devy.

2. Referral Fees

1. Referrers may earn the following payments:
   1. A one-time payment for the initial qualified meeting held between Devy and a qualified lead introduced by the Referrer (the “Meeting Payment”).
   2. A percentage of the payments received by Devy from the Referrer's qualified lead. (the “Commission Payment”).
2. The specific Meeting Payment and Commission Payment for each Referrer will be documented internally by Devy and communicated to the Referrer upon enrollment.

3. Definition of a Referral

1. A referral occurs when the Referrer refers a qualified lead to Devy through an in-person meeting, online meeting, phone call, SMS, email, digital message (such as LinkedIn, Slack, WhatsApp, etc.) or any other method confirmed by Devy. The Referrer must notify Devy of the referral details before the lead approaches Devy or ensure the lead mentions the Referrer's name when initiating contact.
2. A qualified lead is defined as an entity or individual that would have genuine interest in purchasing Devy's software development services or hiring engineers through the Devy network, provided they have not previously engaged with or been contacted by Devy.

4. Payment Terms

1. Referral fees will be paid within 7 business days of:
   1. A qualified meeting being held with a qualified lead, or
   2. Receipt of payment from the referred client for services rendered by Devy.
2. Payments will be made via a method mutually agreed upon by Devy and the Referrer.

5. Legitimate Referrals

Devy, at its sole discretion, will determine the legitimacy of referrals, qualified leads, and qualifying events. Determinations will be made in good faith, and Devy's decision will be final.

6. Other Terms and Termination

1. Participation in the Program begins upon confirmation of enrollment by Devy in writing and continues until termination of enrollment by either party in writing.
2. Any qualifying events completed before termination or modification of enrollment will be honored under the terms in effect at the time.
3. Devy reserves the right to modify or terminate the Program at any time without prior notice.
4. These terms are governed by the laws of New South Wales, Australia.
